THE CHARTER
ALL-RUSSIAN UNION (ASSOCIATION) OF TRADE UNIONS
"CONFEDERATION OF LABOR OF RUSSIA"
(KTR)
1. General provisions

1.1. The All—Russian Union (Association) of Trade Unions "Confederation of Labour of Russia" (KTR), hereinafter referred to as KTR, is a voluntary public association (association) of trade unions operating in the Russian Federation to coordinate their activities to protect social, labour and labour-related rights and interests and their representation.

Trade unions that are independent in their activities from executive authorities, local self-government bodies, employers, their associations, political parties and other public associations that recognise and comply with this Charter may be members of the KTR.

A trade union that includes employers and their representatives (who have the right to hire and dismiss), as well as owners of enterprises, cannot be a member of the KTR.

1.2. Full name: All-Russian Association of Trade Unions "Confederation of Labour of Russia" (KTR);

Abbreviated name: Confederation of Labour of Russia or KTR;

Name in English: Confederation of Labour of Russia;

Abbreviated name in English: KTR.

1.3. KTR carries out its activities throughout the territory of the Russian Federation in accordance with the Constitution and legislation of the Russian Federation, the norms of international law and this Charter, as well as internal regulations and regulations that do not contradict this Charter.

KTR carries out its activities on confederate principles: legality, voluntariness, equality of rights and obligations of member organisations, their full independence, non-interference of KTR bodies in their internal affairs.

KTR is independent in its activities from state authorities and local self-government, employers and their associations, political and other public associations, retains its organisational, financial and economic independence.

1.4. KTR may cooperate or join other trade union associations (associations, unions) of the Russian Federation, cooperate with foreign and international trade union associations whose activities meet the interests of KTR members and do not contradict the goals and objectives defined by this Charter.

1.5. KTR is a legal entity, has a seal, an independent balance sheet, separate property, acquires civil rights and is liable for its obligations with property belonging to it. May acquire and exercise property and personal non-property rights, be a plaintiff and a defendant in court.

The KTR Council, acting on the basis of legislation and this Charter, exercises the rights of a legal entity on behalf of the KTR, acquires civil rights and assumes civil duties on behalf of the KTR.

1.6. KTR uses the emblem and flag as symbols in accordance with the current legislation.

The emblem has a horizontally elongated rectangular shape. In the left part of the emblem there is a pentagonal figure of blue color, which has the shape of a simplified letter "K". In the right part of the emblem there is a pentagonal figure of red color, having the shape of an arrow directed towards the letter "K". There is a small vertical gap of white color between the two figures. Both figures are the same height. The aspect ratio of the emblem is 3:2. To the right of the emblem is the inscription CONFEDERATION OF LABOUR OF RUSSIA in two lines. The inscription is made in letters of red or blue, similar to the colors of the emblem.

The flag has a horizontally elongated rectangular shape. On the left side of the flag there is a pentagonal blue figure in the form of a simplified letter "K". In the right part of the flag there is a pentagonal figure of red color, which has the shape of an arrow pointing towards the letter "K". 1.7. Location of the permanent governing body of the KTR — the KTR Council: the Russian Federation, the city of Moscow.

2. Goals, objectives and subject of the KTR activity

2.1. The purpose of the KTR is to promote the creation, unification of trade unions and the development of their activities to protect the labour, socio-economic, constitutional and other legitimate rights and interests of KTR members and employees who are members of the KTR, and to represent their interests in relations with employers (employers' associations), as well as with state and other bodies.

2.2. The subject of KTR activity is:

— coordination of the activities of KTR members in solving common tasks;

— representation and protection of the legitimate rights and interests of members of the KTR, members of trade unions on labour and socio-economic issues in state authorities, local self-government bodies, courts and public associations;

— participation in the development, together with government agencies, employers (their associations), public and other interested organisations, of socio-economic programs that guarantee real protection of trade union members in matters of employment, wages, social guarantees and others;

— participation in the improvement of labour and socio-economic legislation, the development of draft regulations in accordance with the procedure established by law;

— appeal to the legislative and executive authorities with proposals for the adoption of legislation and other regulations on labour and socio-economic issues related to the rights and interests of trade union members in accordance with the procedure established by law;

— the use of methods provided for by the Constitution and the current legislation of the Russian Federation to protect the legitimate rights and interests of trade union members, including meetings, rallies, demonstrations, demonstrations, pickets, announcements and strikes in accordance with the procedure established by the current legislation;

— expression of solidarity with other trade unions, other public associations, while protecting the legitimate rights and interests of employees;

— providing legal, material and other support to members of the KTR and members of trade unions belonging to the KTR;

— formation of joint strike, insurance, trade union and other trust funds;

— making demands and promoting the social orientation of the state economic policy in matters of labour and employment, social protection, pricing and other socio-economic issues related to the level and quality of life of workers in accordance with the procedure established by law;

— introduction of these issues in separate sections in collective agreements and agreements for the purpose of their practical implementation;

— management on a parity basis of state social insurance funds (extra-budgetary funds) formed at the expense of insurance premiums, as well as control over the use of funds of mandatory types of social insurance (pension, medical, employment, disability as a result of illness or accident, and others) transferred by enterprises in which there are members of the KTR.

2.3. In order to achieve its statutory goals, the KTR has the right to participate in elections and referendums in accordance with the procedure established by the legislation of the Russian Federation, to exercise other rights that do not contradict the current legislation.

2.4. The priority directions of the KTR activities are determined by the decisions of the KTR Congresses, the current tasks are determined by the decisions of the KTR Council and the instructions of the member organisations.

3. Founders and members of KTR

3.1. The founders of the KTR are trade unions that have the status of a legal entity, which convened the founding Congress of the KTR, at which the Charter of the KTR was approved and the governing and audit bodies were formed.

Members of the KTR are trade unions accepted as members of the KTR in accordance with the Charter of the KTR and the legislation in force at the time of admission of a member of the KTR.

Members of the KTR may be trade unions operating in the Russian Federation, recognising the Charter of the KTR and participating in the activities of the KTR.

The rights of the founders and members of the KTR are equal.

3.2. The decision on admission of a member organisation to the KTR is made by the KTR Council on the basis of a written request and a decision of the relevant authorised governing body of the incoming organisation with the attachment of title documents.

3.3. The rights and obligations of a member of the KTR arise from the moment of making a decision to become a member of the KTR.

3.4. Membership in KTR is terminated:

— during the liquidation of the KTR;

— in case of liquidation of a member of the KTR;

— by decision of the Council of the KTR in connection with the exclusion from the members of the KTR;

— by the decision of a member of the KTR adopted in accordance with its Charter;

3.5. Membership in the KTR is terminated by a decision of the KTR Council, due to the exclusion of:

— for non-compliance with the provisions of this Charter;

— for obstructing the implementation of the decisions of the elected bodies of the KTR;

— for non-payment of membership fees for more than six months.

4. Rights and obligations of KTR members

4.1. KTR members have the right through their representatives:

— delegate their representatives to participate in the congresses of the KTR in the number determined by the norm of representation;

— nominate candidates for election and elect any elective bodies of the KTR in the manner provided for by this Charter;

— propose amendments and additions to the Charter of the KTR;

— receive gratuitous legal, advisory and other assistance from KTR in the protection of labour rights, as well as representation and protection of these rights in state and other bodies;

— participate in the activities of the KTR, the management of its affairs, including in the development and adoption of decisions, their implementation, as well as in monitoring their implementation in accordance with the procedure provided for by this Charter;

— freely express the position of a member of the KTR and make suggestions on any issue of the activities of the KTR;

— to form sections of trade unions on similar types of economic activity (branches);

— participate in events held by KTR;

— apply to the elected bodies of the KTR for the protection and support of their rights and interests;

— to use the property and material means of the KTR in accordance with the procedure established by the Charter and the elected bodies of the KTR;

— in cases and in accordance with the procedure stipulated by the law and this Charter, to receive information about the activities of the KTR, its elected bodies and officials, to get acquainted with its accounting and other documentation;

— use KTR symbols;

— to enjoy other rights provided for by law.

The members of the KTR may not execute the decisions of the collegial bodies of the KTR in cases where they did not vote for these decisions, with the exception of decisions concerning the implementation of the provisions of this Charter.

4.2. Members of the KTR are obliged, through their representatives:

— to contribute to the achievement of the goals and objectives of the CTP;

— comply with this Charter;

— not to disclose confidential information about the activities of KTR;

— participate in decision-making, without which the KTR cannot continue its activities in accordance with the law, if such participation is necessary for making appropriate decisions;

— not to commit actions deliberately aimed at causing harm to the KTR;

— not to commit actions (inaction) that significantly complicate or make it impossible to achieve the goals for which the KTR was created;

— participate in the formation of the KTR property in the required amount in the manner, manner and within the time limits determined by the law, this Charter, decisions of the relevant elected governing bodies of the KTR, including timely payment of membership fees in the amount established by the KTR Council;

— to carry out other duties stipulated by the law and this Charter.

4.3. Members of the KTR have equal rights and bear equal responsibilities.

5. KTR Governing bodies

5.1. The supreme governing body of the KTR is the Congress of the KTR.

5.2. The permanent governing collegial elected body of the KTR, which manages the activities of the KTR between the Congresses of the KTR, is the Council of the KTR, acting on the basis of this Charter.

5.3. The Executive collegial elected body of the KTR that manages the activities of the KTR between the KTR Congresses and the meetings of the KTR Council, as well as ensuring the implementation of decisions taken by the KTR Congress and the KTR Council, is the KTR Executive Committee (KTR IC) acting on the basis of this Charter.

5.4. The control and auditing body of the KTR is:

— The Control and Audit Commission of the KTR (KRK KTR), which monitors the financial and economic activities of the KTR, acting on the basis of the Regulations on the Control and Audit Commission of the KTR approved by the Congress of the KTR.

6. KTR Congress

6.1. The Congress is the supreme governing body of the KTR. The KTR Congress is convened by the KTR Council once every four years.

6.2. An extraordinary Congress of the KTR is convened by the KTR Council and held:

6.2.1. By decision of the KTR Council;

6.2.2. At the request of at least one third of the members of the KTR, uniting at least one third of the members of the trade unions that are members of the KTR;

6.2.3. At the request of the Control and Audit Commission of the KTR.

6.3. The decision on the date of the KTR Congress, the draft agenda of the KTR Congress and the norm of representation is made by the KTR Council, based on the number of KTR members, and brings information to the attention of the KTR members, no later than one month before the KTR Congress.

6.4. The procedure for electing representatives (delegates) to the Congress of the KTR is determined by the members of the KTR, in accordance with their Statutes.

6.5. The Congress of the KTR is considered competent, with the participation in its work of at least two-thirds of the representatives (delegates) from the members of the KTR, whose powers are confirmed by the relevant decisions (protocols, extracts from them) of the members of the KTR. The President of the KTR, the General Secretary of the KTR, the Chairman of the Executive Committee of the KTR and the Chairman of the Council of the KTR can participate in the work of the Congress of the KTR with the right to vote.

6.6. The Congress of the KTR considers and makes decisions on any issues related to the activities of the KTR, including:

6.6.1. Defines the program and the next tasks of the KTR;

6.6.2. Hears reports of the President of the KTR, the General Secretary of the KTR, the Chairman of the Executive Committee of the KTR, the Chairman of the Council of the KTR and the Control and Audit Commission of the KTR;

6.7. The exclusive competence of the KTR Congress includes:

— approval and amendment of the Charter of the KTR;

— formation of the KTR Council, early termination of powers and re-election of members of the KTR Council;

— determination of priority areas of KTR activity and principles of formation and use of KTR property;

— making decisions on the procedure for determining the amount and method of payment of membership fees, on additional property contributions of members of the association of KTR to its property;

— election for a term of four years, re-election and early termination of the powers of the members of the Executive Committee of the KTR: the President of the KTR, the Secretary General of the KTR and the Chairman of the Executive Committee of the KTR, as well as the Chairman of the Council of the KTR;

— determination of the procedure for admission to the membership of the KTR and exclusion from the membership of the KTR;

— election of the Control and Audit Commission of the KTR for a period of four years;

— approval of the Regulations on the Control and Audit Commission of the KTR, determination of its quantitative composition, election of its members for a period of four years;

— liquidation and reorganisation of KTR;

— resolution of other issues that, in accordance with the law, are attributed to the exclusive competence of the supreme body.

6.8. The decisions of the Congress of the KTR are taken in accordance with the procedure established by the Congress, by a simple majority of the votes of the representatives (delegates) of the members of the KTR participating in the work of the Congress, if there is a quorum, unless otherwise provided by this Charter or legislation.

Decisions on issues referred to the exclusive competence of the Congress of the KTR are taken by two-thirds of the votes of representatives (delegates) of the members of the KTR participating in the work of the Congress, if there is a quorum.

The form of voting is determined by the Congress. The transfer or delegation of the voting rights of a representative (delegate) of a member of the KTR to another representative (delegate) of a member of the KTR participating in the work of the Congress is not allowed.

6.9. The nomination of candidates for the elective positions of the President of the KTR, the General Secretary of the KTR, the Chairman of the Executive Committee of the KTR and the Chairman of the Council of the KTR is carried out by the members of the KTR by sending relevant proposals to the Executive Committee of the KTR at least ten days before the date of the Congress, and in the case of an extraordinary Congress — three days before the date of the Congress.

7. KTR Council

7.1. The Council of the KTR operates in the period between congresses and is elected by the Congress of the KTR with the establishment of a term of office for four years, taking into account compliance with the requirements of current legislation.

7.2. The KTR Council consists of the President of the KTR, the Chairman of the Executive Committee of the KTR, the General Secretary of the KTR, the Chairman of the KTR Council and representatives proposed by the members of the KTR.

7.3. The KTR Council acts on the basis of legislation, this Charter.

7.4. Each member of the Council has one vote.

7.5. The KTR Council is convened as necessary, but at least once every three months.

7.6. The meeting of the KTR Council is convened by the Executive Committee of the KTR:

7.6.1. At the initiative of the Chairman of the KTR Council, the President of the KTR, the General Secretary of the KTR, the Chairman of the Executive Committee of the KTR;

7.6.2. At the written request of one third of the members of the Board;

7.6.3. At the written request of the Control and Audit Commission of the KTR.

7.7. The KTR Council is competent and competent to consider any issues and make decisions on them, except those referred to the exclusive competence of the KTR Congress.

7.8. The exclusive competence of the KTR Council includes:

— convocation of the Congress of the KTR, setting the date of the Congress of the KTR and the norms of representation at the Congress of the KTR;

— participation in other organisations;

— approval of the Regulations on the legal and Technical labour Inspection of the KTR, amendments and additions to them;

— Appoints and dismisses the Chief Labour Inspector of the KTR;

— making a decision on the admission of new members of the KTR, as well as on the exclusion from the KTR;

— establishment of the amount of membership fees;

— approval of the KTR budget and monitoring of its execution;

— election for the term of office of the Council and early termination of the powers of the responsible secretaries in the areas of activity of the KTR, vice-presidents of the KTR, and the definition of their functional responsibilities.

7.9. KTR Council:

— develops and approves Provisions that are not attributed to the exclusive competence of the Congress of the KTR;

— creates, if necessary, for the current work of the commission and (or) inspection of the KTR, adopts and approves the Regulations on these commissions and (or) inspections, forms the composition of these commissions;

— cooperates with extra-budgetary state insurance funds of employees of members of trade union organisations;

— approves the distribution of powers among the members of the Executive Committee of the KTR, taking into account the position of the Executive Committee of the KTR;

— defines the functional responsibilities of the members of the Executive Committee of the KTR and gives them instructions;

— if necessary, decides on the conclusion of employment contracts with members of the Executive Committee of the KTR released from their main production activities;

— determines the necessity, conditions and forms of cooperation with other trade unions;

— approves the formation of trade union sections for similar types of economic activity (industries) and assists their development;

— approves authorised representatives of the KTR for work in the regions;

— makes decisions and submits proposals and requirements on social, labour, and professional issues to state and local government bodies, in accordance with the current legislation, seeks their implementation;

— sends representations to employers (their representatives), executive authorities and local self-government bodies on the elimination of violations of labour legislation, general, sectoral and other agreements and collective agreements;

— monitors compliance by employers (their representatives), officials with labour legislation and makes demands to them on the elimination of identified violations, on the cancellation and suspension of actions or amendments to regulations that violate the rights, freedoms and interests of trade union members who are members of the KTR;

— makes demands to employers and their representatives regarding the establishment and modification of working conditions (including wages), the conclusion, modification and implementation of collective agreements, agreements on social and labour relations;

— in accordance with the procedure provided for by law, organises and conducts collective actions in support of the demands put forward, including in accordance with the current legislation, makes a decision to declare a strike, and also determines the body leading the strike and the composition of representatives of employees authorised to participate in conciliation procedures;

— organises and directs collective actions in the protection of individual labour rights of trade union members who are members of the KTR;

— interprets the provisions and norms of this Charter;

— exercises other powers that do not contradict this Charter and the current legislation.

7.10. The Executive Committee of the KTR must notify the KTR member organisations of the date of the next meeting of the KTR Council and its proposed agenda no later than ten days in advance.

7.11. A meeting of the Council is considered competent, provided that all members of the Council of the KTR are duly notified of the meeting of the Council, and at least two thirds of the members of the Council of the KTR participate in the meeting of the Council of the KTR.

On issues that do not require detailed discussion, decisions of the KTR Council can be made by using electronic means of communication. The voting form is determined by the KTR Council. At the same time, all members of the KTR Council take part in the meeting of the KTR Council, and the decision is considered adopted if at least two thirds of the members of the KTR Council voted for it.

7.12. Decisions of the Board of the KTR are made by a majority vote of the number of members of the Board present, subject to the established quorum.

The decisions adopted by the Board of the KTR are binding on the members of the KTR who voted for these decisions. The members of the KTR, whose representatives voted against the adopted decision, have no right to interfere with the implementation of this decision.

7.13. In case of non-payment of membership fees for more than three consecutive months without a valid reason, the representative of the member of the KTR who has this debt is deprived of the right to vote in the Council of the KTR.

In case of non-payment of membership fees for more than six months in a row, the KTR Council has the right to exclude a KTR member from the KTR.

7.14. The meetings of the KTR Council are conducted by the Chairman of the KTR Council.

7.15. In case of expiration of the term of office of the members of the Council of the KTR, their powers remain until the election of a new composition of the Council of the KTR.

8. KTR Executive Committee

8.1. The Executive Committee of the KTR is the executive collegial elected body of the KTR.
Meetings of the Executive Committee of the KTR are held as necessary, but at least once a month.

8.2. The Executive Committee of the KTR is elected by the Congress of the KTR and consists of the Chairman of the Executive Committee of the KTR, the President of the KTR and the General Secretary of the KTR.

8.3. A meeting of the Executive Committee of the KTR is considered competent if all members of the Executive Committee of the KTR take part in it. Decisions of the Executive Committee of the KTR are taken by consensus (unanimously). In case of failure to reach an agreement, the issue is submitted for consideration by the Council of the CTR.

The meeting of the Executive Committee of the CTR may be attended by the Chairman and members of the Council of the CTR. The Chairman and members of the Board of the KTR participate in the meetings of the Executive Committee of the KTR with the right of advisory vote.

8.4. On issues that do not require detailed discussion, decisions of the Executive Committee of the KTR can be made by using electronic communication means. If the consent of all members of the Executive Committee of the KTR is not reached by means of communication, the issue is submitted to the next meeting of the Executive Committee of the KTR.

8.5. The KTR Executive Committee makes decisions on any issues other than those referred to the exclusive competence of the KTR Council and the KTR Congress. Decisions are signed by all members of the Executive Committee of the KTR.

8.6. KTR Executive Committee:

— ensures the implementation of decisions taken by the Congress of the KTR and the Council of the KTR;

— exercises the powers conferred on him by the decision of the Council of the KTR;

— forms working groups for the execution of decisions of the elected bodies of the KTR;

— represents the interests of KTR in state and local government bodies, in commercial and non-profit organisations, in other trade unions and their associations, in employers' associations, in social partnership bodies, in international organisations;

— maintains a Register of KTR members;

— convenes the KTR Council, assists in the preparation and organisation of meetings of the KTR Council;

— develops the draft budget of the KTR and submits it for consideration by the KTR Council;

— develops the work plan of the KTR and submits it for consideration by the KTR Council;

— develops recommendations for members of the KTR and representatives of the KTR to work in the regions;

— coordinates the organisations of the KTR;

— appoints and dismisses representatives of the KTR for work in the regions, directs their activities;

— provides activities to attract new trade unions to the KTR and create them;

— organises training for the leadership of members of the KTR, organisations and trade union activists of the KTR;

— manages the activities of the Labour Inspection of the KTR;

— ensures participation in organisations established by KTR;

— ensures the activity and interaction of KTR Sections by industry (types of economic activity);

— ensures the participation and interaction of the KTR with other trade union associations in the Russian Federation and abroad, in other organisations;

— ensures the interaction of KTR with employers' associations;

— ensures the work of the KTR in the social partnership bodies;

— ensures the interaction of the KTR with public authorities and municipal administration;

— ensures the interaction of the KTR with international organisations;

— disposes of the KTR funds in accordance with the KTR budget approved by the KTR Council within its competence;

— appoints and dismisses employees of the KTR apparatus, determines the amount of their remuneration in accordance with the KTR budget approved by the KTR Council.

8.7. If one of the members of the Executive Committee of the KTR is temporarily unable to perform his duties, his duties are redistributed among themselves by the remaining members of the Executive Committee of the KTR.

8.8. In case of expiration of the term of office of the members of the Executive Committee of the KTR, their powers remain until the election of a new composition of the Executive Committee of the KTR.

8.9. Meetings of the KTR Executive Committee are chaired by the Chairman of the KTR Executive Committee.

9. Chairman of the KTR Council

9.1. Is elected and dismissed by the Congress of the KTR and is accountable to it.

9.2. On behalf of the Congress of the KTR, the Council of the KTR, as well as in cases provided for by this Charter, represents the interests of the KTR in state and local government bodies, in commercial and non-profit organisations, in other trade unions and their associations, in employers' associations, in social partnership bodies, in international organisations.

9.3. In its work, it is guided by the current legislation, this Charter, decisions of congresses and other collegial bodies of the KTR.

9.4. Initiates, prepares, organises, opens and conducts meetings of the KTR Council. Signs the minutes of the meeting of the KTR Council. On behalf of the KTR Council, gives instructions to the KTR Executive Committee related to ensuring the preparation and conduct of the KTR Council.

9.5. May participate in the work of all committees and commissions with the right to vote, with the exception of the Executive Committee of the KTR and the Control and Audit Commission of the KTR.

9.6. Is responsible, within the limits of its powers, for implementing the provisions of this Charter, decisions adopted by the Congress of the KTR, the Council of the KTR, the Executive Committee of the KTR corresponding to this Charter.

9.7. The functional duties of the Chairman of the KTR Council are determined by this Charter and the KTR Council.

9.8. If the Chairman of the KTR Council is unable to perform his duties, his powers are performed by one of the members of the KTR Council before the KTR Congress, in accordance with the decision of the KTR Council.

10. President of KTR

10.1. Is elected and dismissed by the Congress of the KTR and is accountable to it. Exercises the powers of the sole executive body. Within the framework of these powers, he acts jointly with the Chairman of the Executive Committee of the CTR and the Secretary General of the CTR.

10.2. Represents, without a power of attorney, the interests of KTR in state and local government bodies, in commercial and non-profit organisations, in other trade unions and their associations, in employers' associations, in social partnership bodies, in international organisations, exercises other powers that do not contradict the Charter and current legislation;

10.3. In its work, it is guided by the current legislation, this Charter, decisions of congresses and other collegial bodies of the KTR.

10.4. Opens and conducts meetings of the Congress of the KTR.

10.5. May participate in the work of all committees and commissions with the right to vote, with the exception of the Control and Audit Commission of the KTR.

10.6. Is responsible, within the limits of its powers, for implementing the provisions of this Charter, decisions adopted by the Congress of the KTR, the Council of the KTR, the Executive Committee of the KTR corresponding to this Charter.

10.7. 10.8. The functional duties of the President of the KTR are determined by this Charter and the Council of the KTR.

10.9. If the President of the KTR is unable to perform his duties, his powers are performed by one of the members of the Executive Committee of the KTR before the Congress of the KTR, in accordance with the decision of the Council of the KTR.

11. Chairman of the Executive Committee of the KTR

11.1. Is elected and dismissed by the Congress of the KTR and is accountable to it. Exercises the powers of the sole executive body. Within the framework of these powers, he acts jointly with the President of the KTR and the Secretary General of the KTR.

11.2. Represents, without a power of attorney, the interests of KTR in state and local government bodies, in commercial and non-profit organisations, in other trade unions and their associations, in employers' associations, in social partnership bodies, in international organisations, exercises other powers that do not contradict the Charter and current legislation;

11.3. In its work, it is guided by the current legislation, this Charter, decisions of congresses and other collegial bodies of the KTR.

11.4. Opens and conducts meetings of the Executive Committee of the KTR.

11.5. May participate in the work of all committees and commissions with the right to vote, with the exception of the Control and Audit Commission of the KTR.

11.6. Is responsible, within the limits of its powers, for implementing the provisions of this Charter, decisions adopted by the Congress of the KTR, the Council of the KTR, the Executive Committee of the KTR corresponding to this Charter.

11.7. 12. Secretary General of the CTR

12.2. Represents, without a power of attorney, the interests of KTR in state and local government bodies, in commercial and non-profit organisations, in other trade unions and their associations, in employers' associations, in social partnership bodies, in international organisations, exercises other powers that do not contradict the Charter and current legislation;

13. Responsible secretaries for the areas of activity

13.1. The responsible secretaries of the KTR in the areas of activity are elected for the term of office of the Executive Committee of the KTR and prematurely terminate their powers, on the proposal of the Executive Committee of the KTR, by the decision of the KTR Council, which approves their functional duties, powers and accountability.

13.2. Responsible secretaries participate in the work of the Executive Committee of the KTR with the right of advisory vote.

13.3. As part of the exercise of their powers, on behalf of the General Secretary of the KTR, the responsible secretaries interact with the KTR member organisations, other trade union organisations in Russia and abroad, state and municipal authorities, mass media, business entities and other bodies in the interests of the KTR.

14. Vice-Presidents of KTR

14.1. The Vice-Presidents of the KTR are elected for the term of office of the Executive Committee of the KTR and prematurely terminate their powers on the proposal of the Executive Committee of the KTR, by the decision of the KTR Council, which approves their functional duties, powers and accountability.

14.2. The Vice-Presidents of the KTR participate in the work of the Executive Committee of the KTR with the right of advisory vote.

14.3. As part of the exercise of their powers, on behalf of the President of the KTR, the Vice-Presidents of the KTR interact with the KTR member organisations, other trade union organisations in Russia and abroad, state and municipal authorities, mass media, business entities and other bodies in the interests of the KTR.

15. Territorial interaction and authorised representatives of the KTR for work in the regions

15.1. Members of the KTR, acting in accordance with their charters on the territory of one or more subjects of the Russian Federation, may coordinate their activities in cooperation with executive authorities and employers' associations in the relevant territory of the Russian Federation. The forms of coordination are determined by them independently in accordance with the Charter of the KTR and the current legislation.

15.2. Authorised representatives of the KTR for work in the regions are appointed and dismissed by the Executive Committee of the KTR with subsequent approval by the Council of the KTR.

15.3. Authorised representatives of the KTR act on the basis of this Charter and the Regulations on the representative of the KTR approved by the Council of the KTR.

16. KTR sections

16.1. Sections on similar types of economic activity (branches) may be formed in the KTR.

16.2. The Sections are advisory structures for the development of a strategy for the activities of the KTR in one or more types of economic activity (industries).

16.3. Each member of the KTR may participate in the work of any Section of the KTR through his representatives, if he has trade union members in these types of economic activities (industries).

16.4. KTR sections are formed by member organisations.

16.5. The KTR Council approves the decision on the formation of the section, approves the Regulations on it and assists in their activities.

16.6. KTR sections:

— analyse the state of labour relations and social partnership in the relevant types of economic activity (industries);

— develop recommendations for decision-making by the Council and the Executive Committee of the KTR.

17. Control and Audit Commission of KTR

17.1. The Control and Audit Commission of the KTR is elected by the Congress of the KTR for a term of four years. The Control and Audit Commission of the KTR monitors the financial and economic activities of the KTR, annually conducts audits of the financial and economic activities of the KTR.

17.2. The Control and Audit Commission of the KTR acts on the basis of the Regulations approved by the Congress of the KTR. Meetings of the Control and Audit Commission of the KTR are held as necessary, but at least once a year. A meeting of the KRK of the KTR is competent if at least two thirds of the number of elected members of the KRK of the KTR take part in its work. Decisions are made by at least three-quarters of the number of elected members of the Control and Audit Commission of the KTR.

17.3. Members of the Control and Audit Commission of the KTR may not be persons elected to senior positions of the KTR, to the elected bodies of the KTR, and employees of the KTR.

18. KTR funds and property

18.1. The financial resources of the KTR are formed from the contributions of member organisations, voluntary contributions of legal entities and individuals, donations and other sources not prohibited by the current legislation. The funds of the KTR are directed to the fulfillment of the statutory goals and objectives.

18.2. KTR has the right to carry out, on the basis of federal legislation, both independently, if there is sufficient property with a market value of at least the minimum amount of authorised capital provided for limited liability companies, and through commercial legal entities established by it, in accordance with the current legislation, income-generating activities to achieve the goals provided for by the charter, and corresponding to these goals. The KTR may establish trade union banks, solidarity funds, insurance, cultural and educational funds, education and training funds, as well as other funds corresponding to the statutory goals of the KTR. The income from the income-generating activities of the KTR is not subject to redistribution among the members of the KTR.

18.3. In order to perform its statutory functions, KTR owns property and funds. KTR has the right to have property and funds, both on the territory of the Russian Federation and abroad. Control over the expenditure of funds is assigned to the Control and Audit Commission of the KTR. The control of state bodies is carried out within the limits of the rights granted by the current legislation of the Russian Federation.

18.4. KTR does not bear property liability for the obligations of KTR members. The members of the KTR do not bear property liability for the obligations of the KTR. In case of withdrawal or exclusion of KTR members, membership fees are non-refundable.

18.5. The owner of the entire property of KTR is KTR. The rights of the owner are exercised by the Council of the KTR. Members of the elected collegial bodies of the KTR do not have the right to a share of the ownership of the KTR.

19. The procedure for making amendments to the Charter of the KTR

19.1. Amendments to the Charter of the KTR are adopted by the Congress of the KTR by two-thirds of the votes of the representatives (delegates) of the members of the KTR present at the congress, if there is a quorum.

19.2. Amendments to the Charter of the KTR are subject to state registration in accordance with the procedure and terms established by the legislation of the Russian Federation. The amendments made to this Charter become effective for third parties from the moment of state registration of the Charter in a new edition, and in cases established by law, from the moment of notification of the body carrying out state registration of such changes.

20. Final provisions

20.1. The activities of the KTR may be terminated by liquidation by a decision of the KTR Congress by two-thirds of the votes of the representatives (delegates) of the KTR members participating in the work of the Congress, if there is a quorum for holding the KTR Congress.

20.2. KTR may be reorganised in accordance with the legislation. The decision of the Congress on reorganisation is considered adopted if two thirds of the representatives of the members of the KTR participating in the work of the Congress voted for it, if there is a quorum and proper notification.

20.3. The property and funds remaining after the liquidation of the KTR, after satisfying the creditors' claims, are directed to the purposes provided for by this Charter. The decision on the use of the remaining property is published by the liquidation commission in the press.

20.4. KTR ensures the accounting and preservation of documents of staff members and, upon termination of activity, promptly transfers them to state custody in accordance with the established procedure.
